1. Agreement to Terms

These Terms of Service ("Terms") constitute a legal agreement between you ("Client," "you," or "your") and MapMedica Digital Solutions ("MapMedica," "we," "us," or "our") regarding your use of our website and services.

By accessing our website at https://mapmedica.in or engaging our services, you agree to these Terms. If you do not agree with any part of these Terms, you must not use our services.

2. Services Description

MapMedica provides specialized Local SEO (Search Engine Optimization) services exclusively for healthcare providers in India, including but not limited to:

• Google Business Profile optimization and management
• Local search visibility improvement
• Website SEO optimization
• Content creation and optimization
• Online review management
• Citation building and management
• Healthcare-specific keyword research and targeting
• Competitor analysis
• Monthly performance reporting

3. Eligibility

Our services are available only to:

• Licensed healthcare providers in India
• Registered hospitals and clinics
• Healthcare organizations with legitimate business operations
• Entities authorized to represent healthcare providers

By using our services, you represent and warrant that:

• You have the legal authority to enter into this agreement
• You hold all necessary licenses and registrations to practice healthcare/operate a healthcare facility in India
• You are in compliance with all applicable Medical Council of India (now National Medical Commission) regulations

4. Service Agreement & Scope

4.1 Service Packages

We offer various service packages tailored to different types of healthcare providers (solo practitioners, multi-location hospitals, etc.). The specific services included in your package will be outlined in your Service Agreement or Proposal.

4.2 Customization

All services are customized to your specific needs and will be detailed in a separate Service Agreement that forms part of these Terms.

4.3 Service Delivery

We will make commercially reasonable efforts to deliver services as specified in your Service Agreement. However, SEO results depend on multiple factors including search engine algorithms, competition, and website quality. We do not guarantee specific rankings or traffic increases.

5. Client Responsibilities

To enable us to provide our services effectively, you agree to:

5.1 Access & Information

• Provide accurate and complete information about your practice
• Grant necessary access to your Google Business Profile, website, and other platforms
• Respond to our requests for information within reasonable timeframes
• Designate an authorized representative for communications

5.2 Compliance

• Comply with all applicable healthcare regulations including NMC/MCI guidelines
• Ensure all content and claims you provide are truthful and compliant
• Maintain valid professional licenses and certifications
• Inform us of any regulatory changes affecting your practice

5.3 Website & Technical Requirements

• Maintain an active website with adequate hosting
• Implement our technical recommendations within reasonable timeframes
• Ensure your website meets basic technical standards

6. Payment Terms

6.1 Fees

Service fees will be specified in your Service Agreement. All fees are quoted in Indian Rupees (INR) unless otherwise stated.

6.2 Payment Schedule

Unless otherwise agreed:

• Monthly services: Paid in advance on the 1st of each month
• One-time setup fees: Due before service commencement
• Annual plans: Paid upfront with optional quarterly installments

6.3 Late Payments

Late payments may result in service suspension. Interest charges of 1.5% per month may apply to overdue amounts.

6.4 Taxes

All fees are exclusive of applicable taxes (GST, etc.). You are responsible for all taxes associated with the services.

7. Term & Termination

7.1 Service Term

The initial service term will be specified in your Service Agreement (typically 3, 6, or 12 months).

7.2 Renewal

Unless either party provides written notice of non-renewal at least 30 days before the end of the current term, the agreement will automatically renew for successive periods equal to the initial term.

7.3 Termination by Client

You may terminate services by providing 30 days written notice. However:

• No refunds will be provided for prepaid services
• Early termination fees may apply as specified in your Service Agreement
• You remain liable for all fees accrued through the notice period

7.4 Termination by MapMedica

We reserve the right to terminate services immediately if:

• You violate these Terms or the Service Agreement
• You engage in unethical or illegal practices
• Payment is more than 30 days overdue
• You lose necessary licenses or regulatory approval
• Continuing service would violate laws or regulations

8. Intellectual Property

8.1 Our IP

All content, strategies, methodologies, reports, templates, and tools developed by MapMedica remain our intellectual property. You receive a limited license to use deliverables for your practice only.

8.2 Your IP

You retain ownership of your practice name, logo, content, and other intellectual property you provide to us. You grant us a limited license to use these materials solely for providing our services.

8.3 Co-Created Content

Content we create on your behalf (blog posts, web copy, etc.) becomes your property upon full payment. However, we retain the right to use general methodologies and non-client-specific knowledge.

9. Confidentiality

Both parties agree to:

• Keep confidential all proprietary information shared during our engagement
• Not disclose confidential information to third parties without consent
• Use confidential information only for the purposes of this agreement

Exceptions: Information is not confidential if it's publicly available, independently developed, or must be disclosed by law.

10. Compliance with Healthcare Regulations

10.1 MCI/NMC Guidelines

We design our services to comply with Medical Council of India (now National Medical Commission) ethical advertising guidelines. However:

• Ultimate responsibility for regulatory compliance rests with you
• You must review and approve all marketing materials before publication
• You must inform us of any regulatory concerns with proposed content

10.2 Patient Privacy

We will never request access to patient medical records or personally identifiable patient health information. Our services work only with publicly available information and general practice details.

10.3 Ethical Marketing

We do not engage in:

• False or misleading claims
• Fake review generation
• Testimonial manipulation
• Comparison advertising
• Any practices prohibited by NMC guidelines

11. Disclaimers & Limitations

11.1 No Guaranteed Results

SEO is an ongoing process affected by many factors beyond our control including:

• Search engine algorithm changes
• Competitor activities
• Your website quality and user experience
• Industry seasonality and trends

We DO NOT guarantee:

• Specific search rankings
• Specific traffic or patient inquiry increases
• Permanent rankings
• Results within specific timeframes

11.2 Service Limitations

Our services have inherent limitations:

• We cannot control search engine algorithms or policies
• We cannot guarantee your competitors won't outperform you
• Geographic and market-specific results may vary
• Some activities (like manual review responses) require your approval

11.3 Third-Party Platforms

We work with third-party platforms (Google, social media, directories). We are not responsible for:

• Changes to their terms, policies, or algorithms
• Platform outages or technical issues
• Account suspensions or penalties by these platforms

12. Limitation of Liability

To the maximum extent permitted by law:

12.1 Damages Cap

Our total liability arising from or related to these Terms or our services shall not exceed the total fees paid by you in the 6 months preceding the claim.

12.2 Excluded Damages

We are not liable for indirect, incidental, consequential, special, or punitive damages including:

• Lost profits or revenue
• Lost business opportunities
• Reputation damage
• Data loss
• Cost of substitute services

12.3 Exceptions

These limitations do not apply to:

• Our gross negligence or willful misconduct
• Violations of intellectual property rights
• Breaches of confidentiality
• Matters that cannot be limited by law

13. Indemnification

You agree to indemnify and hold MapMedica harmless from claims arising from:

• Your violation of these Terms
• Your violation of healthcare regulations
• Content or information you provide to us
• Your practice operations or patient care
• Unauthorized use of our services

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of courts in Hyderabad, Telangana.

14.2 Informal Resolution

Before initiating formal proceedings, both parties agree to attempt good-faith negotiations to resolve disputes.

14.3 Arbitration

If negotiations fail, disputes may be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996.

15. General Provisions

15.1 Entire Agreement

These Terms, together with your Service Agreement and any other executed documents, constitute the entire agreement between the parties.

15.2 Amendments

We may update these Terms from time to time. Material changes will be communicated via email to active clients. Continued use of our services after changes constitutes acceptance.

15.3 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

15.4 Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

15.5 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights with notice to you.
